Ladies what do you mean when you let down a guy by saying "He's too nice."?

Guys feel free to chime in what you think ladies mean by this. I just don't get that "too nice" thing. If you mean he's a fool or borderline B**** and you are being PC when saying, "he's too nice.", please let me know.
